3. Accounts

You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately of any unauthorised use. You are responsible for the actions of team members you invite into your account.

4. Subscriptions, billing and refunds

• Automatic RenewalPaid plans are billed on a recurring monthly or custom basis. Subscriptions renew automatically until cancelled. Cancellation takes effect at the end of the billing cycle.
• Pricing & TaxesPrices exclude applicable taxes unless explicitly noted. Fees may change with prior notice. Lead Marketplace credits are billed separately.
• Non-Refundable ClauseAll payments, including recurring subscription fees and Lead Marketplace credit purchases, are non-refundable except where explicitly required by applicable law.

You agree not to use the Services to:

6. Third-party platforms and APIs

The Services integrate with third-party platforms through their official APIs, including Meta (Facebook, Instagram, WhatsApp), Google (My Business, YouTube, Google Ads), LinkedIn, and X (Twitter). You acknowledge and agree that:

• Your use of each platform is governed by their own developer rules and user agreements.
• By connecting a profile, you authorise us to access and run automated workflows through its official APIs, under the Claayo app identity.
• We are not responsible for third-party platforms. If they deprecate APIs, terminate connections, or alter access, features may be disabled without prior liability.
• Platform policies set strict automation rules. You run campaigns and post activities at your own risk.
• Re-authorization note: As part of the transition from CoolCliq to Claayo, some platform connections (particularly Meta and Google, whose OAuth consent screens are tied to registered app names) may require you to re-approve access under the Claayo app identity. This does not change what data is accessed or how it's used — only the displayed app name during consent.

7. Messaging, automation & compliance

If you use messaging campaigns across WhatsApp, SMS, Email, Comment or DM automations, you are solely responsible for:

Securing active consent / opt-in triggers from recipients.
Honouring DNC/DND registries and STOP/opt-out requests.
DLT registration, template verification, and DLT header configuration in India.

We act as a tool provider; you remain the sender of all messaging actions and carry liability for the contents.

10. Your content and intellectual property

• Your content: You own all files, logos, databases, and campaigns you upload. You grant us a restricted licence to host, sync, and deliver these items to support your workspaces.
• Our platform: COOLCLIQ PRIVATE LIMITED owns all code, software architectures, user interfaces, layout styles, and IP underlying Claayo and its products. We grant you a restricted, non-transferable access licence.
• AI Outputs: Subject to third-party engine terms, you own the creative outputs generated for your workspaces. You must ensure they do not violate copyright policies.
• Brand assets: "Claayo," associated logos, and product names (BrandOS, Trendly, 360SMM, AIFUNNEL) are trademarks/brand assets of COOLCLIQ PRIVATE LIMITED.

11. Service availability

We aim for high availability but do not guarantee uninterrupted workspaces. We can alter, update, or discontinue features (especially following partner API changes) with reasonable notice.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. Limitation of liability

To the maximum extent permitted by law, COOLCLIQ PRIVATE LIMITED and its affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill, or business.

Our total aggregate liability for any claim will not exceed the amount you paid us for the Services in the 3 months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless COOLCLIQ PRIVATE LIMITED (and the Claayo brand) from any claims, damages, liabilities and costs (including reasonable legal fees) arising from your content, your use of the Services, your communications and campaigns, your use of the Lead Marketplace, or your breach of these Terms or of any third-party platform's terms or applicable law.

15. Termination

You can cancel your account at any time. We can suspend or terminate access if you violate terms, fail subscription payments, or behave in ways that pose liability risks to other users or external platform integrations.

16. Rebrand continuity

Claayo is the continuation of the CoolCliq platform under a new brand name, operated by the same legal entity, COOLCLIQ PRIVATE LIMITED. All accounts, subscriptions, data, and agreements made under the CoolCliq name carry forward unchanged. These Terms supersede the version previously published at coolcliq.app.

17. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, where required, notify you. Continued use after changes take effect means you accept the updated Terms.

18. Governing law and disputes

These Terms are governed by the laws of India. The courts at Aligarh, India have exclusive jurisdiction, subject to any mandatory consumer-protection rights you have under applicable law.
